Regulations of the International Centre of Registration Law
(C I N D E R)

Approved at extraordinary and ordinary Meetings held at:
 

  • Madrid, on October 5th, 1974.
  • Sao Paulo, on July 25th, 1975.
  • Rome, on July 2nd, 1981.
  • Buenos Aires, on December 4th, 1981.
  • Río de Janeiro, on May 12th, 1987, and
  • Marrakech, on November 5th, 1998.
  • Moscow, on June 5th, 2003.
  • Fortaleza, on November 10th, 2005.

Article 1. The International Centre of Registration Law (CINDER) is an independent organization, of open structure and international nature, which was incorporated at the Minutes of December 2nd, 1972 and which is governed by these Regulations.

Article 2. The aims and objectives of CINDER are:

  1. To facilitate and organise the communication between its members, in order to coordinate its activities and to strengthen bonds of unity and fraternity.
  2. To promote and to encourage the study of subjects and matters relating to registration.
  3. To spread these studies and any other investigation related to this speciality by means of publishing a magazine of international nature.
  4. To give advice on the subject matters related to this speciality.
  5. To be used as an office for the exchange of books, magazines and publications related to law, technology and registry organization.
  6. To try to create Centres or Institutes on Registration Law in all countries and their becoming members of CINDER.
  7. To call Internationals Conferences.
  8. To become a member of the pertinent international organizations.

Article 3. El CINDER shall be composed of the following categories of members:

  1. Founding Partners: The Centre of Credit Studies of the Land and Mercantile Registrar’s Association of Spain, the Puerto Rico Institute on Registration and Notarial Law and the Institute on Registration Law of the Notarial University of Argentina.
  2. Founding Members: Any academic or professional entities specifically related to registry studies or activities that, at their request, may become members of the Centre with such nature, up to ninety days following the approval of these Regulations. Only one founding member per country may become members of the Centre, the Institutes corresponding to countries having founding partners not being admitted as founding members.
  3. Full Members: Any academic or professional entities specifically related to registry studies or activities that, at their request, may become members of the Centre with such nature.
  4. Representatives of Governmental Administrations with authority on registry matters may also become members of CINDER as Members of the General Meeting, especially from the countries in which no institutions of those provided for in these Regulations have yet been incorporated or created.
  5. Only exceptionally and with prior agreement of the General Meeting, the number of members of a country with a right to become part of it may exceed two.
  6. Related members: Any academic or professional entities, or individuals, related to registry studies or activities that, in order to be able to cooperate with CINDER, wish to be permanently related to it. Only individuals that meet the following requirements shall be admitted with such nature:

a) Have a degree in Law, or be at the charge of a Legal Register of Goods as head and responsible of the Register, or have an academic activity on registration law.
b) Have participated at least in an International Conference promoted by CINDER.

  1. Honorary Members: Entities and individuals that may deserve special recognition due to their nature, precedents or contribution to research and development in Registration Law and that are designated with such nature.

The admission of members of any of the abovementioned categories shall have to be approved by the General Meeting, according to the documents certifying compliance with the conditions required in each case.

Article 4.
The bodies of CINDER are:

  1. The General Meeting; and
  2. The General Secretariat

Article 5.

  1. The General Meeting, composed exclusively by the founding partners, the founding members and the full members duly represented, is the supreme body of CINDER and has all the authorities relating to its management and organization.
  2. The General Meeting shall be called by the General Secretariat or, in its absence, by the Chairman, at the request of any of the members referred to in paragraphs a) and b) of article 3. It shall necessarily meet as an ordinary meeting at the place and on the date that each International Conference is held. It shall meet as an extraordinary meeting at the place and on the date agreed by the referred members which may express such wish by mail or email or any other means with legal certainty.
  3. The General Meeting, whether ordinary or extraordinary, shall be validly held, on first call, with the majority of members with the right to compose it, whether present or duly represented; and on second call, whatever the number of referred members may be, except for the modification of the Certificate of Incorporation or of these Regulations, in which case the vote of two thirds of the members present shall be required.
  4. Only a vote per country shall be admitted in the General Meeting. If full members and founding members of the same nationality attend the Meeting, then the latter shall vote; if that happens with the full members, the most senior of them in CINDER shall vote. Furthermore, if members from the same country attend the General Meeting, some of them being professional entities and others representing their respective Administration, the vote shall be exercised by the former. If a member of a specific country with a right to vote is absent but another member of the same country attends the Meeting, then the latter shall exercise the right to vote.
  5. The decisions of the General Meeting shall be adopted with the majority of votes being present, except for the modification of the Certificate of Incorporation or of these Regulations, which shall require the vote of two thirds of the members present.
  6. The Meetings held prior to each Conference may agree to establish a special fee per member of the congress with the purpose of completing the budget of revenues.

Article 6.

  1. The chair of the General Meeting shall correspond to a chairman, whose appointment shall rotate among the countries to which the member entities of CINDER belong, in alphabetical order. First, the order established by the member organizations on the date of approval of these Regulations shall be followed. Thereinafter, the office of chairman shall also rotate among the members joining CINDER that have a seniority exceeding ten years.
  2. The office of Chairman shall be honorary and non-remunerated and the term of office shall be for the period of time elapsing between the dates of two consecutive ordinary Meetings.

Article 7.
The General Secretariat shall execute the decisions of the General Meeting, whether adopted in ordinary or in extraordinary meetings.

Article 8.
The General Secretariat shall have the following authorities:

  1. To propose to the General Meeting the total or partial modification of these Regulations, the joining of new full members, related and members and honorary members; also the modules to establish their ordinary and extraordinary contributions.
  2. To call the General Meeting for it to be hold in the periods of time coinciding with International Conferences and to promote decisions as established in particle 5, paragraph 2.
  3. To manage the assets of CINDER and to solve its matters according to the general guidelines received from the General Meeting and to adopt the necessary measures for the adequate compliance of the aims and purposes provided for in article 2. This authority shall include acquiring and using its goods subject to the decisions of the general Meeting.
  4. To call International Conferences and to execute the decisions of the General Meeting.
  5. To submit to each of the ordinary sessions of the General Meeting a Report on the activities carried out on the period of time immediately preceding it and a project of the CINDER budget of revenues and expenses for the next period of time.
  6. To submit an explanation of their management to each of the ordinary Meetings.
  7. To record on Minutes and to issue certificates of the conclusions officially adopted at the International Conferences.

Article 9.

  1. El term of office of Secretary General shall be of four years and he can be re-elected. He shall preserve his office until his successor has been appointed.
  2. The Secretary General shall represent CINDER in all actions of its management. Apart from being Secretary of the General Meeting, he shall also be Secretary of the International Conferences.
  3. The Secretary General shall have the right to be heard at the General Meetings, but no right to vote.

Article 10.

  1. For the best compliance of the aims of CINDER, Local Offices of CINDER shall be created in Europe, America, Africa, Asia and Australia that shall be at the charge of a President of the Local Office in each territorial area.
  2. Each CINDER Local Office shall have the following functions:

a) The organization of territorial meetings on matters of Registration Law or of practice in rendering registry services.
b) The communication and spreading in each territorial area of the results of its meetings, as well as of the Conclusions of the International Conferences on Registration Law.
c) The submission of proposals to the General Secretariat and to the General Meeting of CINDER.
d) The report to the General Meeting of the activities of the Local Office.

  1. The President of the CINDER Local Office shall necessarily be an individual representing one of the Member Institutes referred to in article 3, letters a), b) and c) of these Regulations. Each President of a CINDER Local Office, whose office shall be honorary and non-remunerated, shall be appointed by the General Meeting at the proposal of the General Secretariat of CINDER.
  2. The Chairmen of each CINDER Territorial Local Office may propose to the General Meeting that cooperative Entities dedicated to the study and research of matters on Registration theory and practice on the countries of its territorial area, become members of its Local Office.

Article 11.
The organization of the International Conferences shall be governed by the regulations which the General meeting may establish.
